Subscription Cancellation Policy

This Subscription & Cancellation Policy ("Policy") explains how subscriptions, renewals, cancellations, non-renewals, billing schedules, refunds, and early termination are handled for Vaultody's Services.
This Policy should be read together with the Digital Wallet as a Service (DWaaS) Software as a Service Agreement (Non-Custodial), the Privacy Policy, the Data Processing Addendum, the Terms & Conditions, and other legal documents published by Vaultody.
Capitalized terms not defined in this Policy have the meanings given to them in the DWaaS Software as a Service Agreement.
1. Subscription Commitment
Vaultody provides subscription-based Services subject to a minimum subscription commitment.
Unless otherwise expressly stated by Vaultody in writing, each subscription is subject to an initial term of one (1) year.
The one-year subscription commitment applies regardless of the billing frequency selected by the Client.
2. Billing Frequency
Vaultody may offer different billing frequencies, including monthly, quarterly, semi-annual, annual, or other payment schedules.
The selected billing frequency affects only the timing of payments.
It does not convert the subscription into a month-to-month, quarter-to-quarter, or cancel-anytime subscription.
For example, if a Client selects monthly billing, the Client remains committed to the applicable one-year subscription term, unless the subscription is terminated in accordance with the DWaaS Software as a Service Agreement.
3. Subscription Renewal
Unless either Vaultody or the Client provides written notice of non-renewal at least thirty (30) days before the end of the then-current subscription term, the subscription will automatically renew for successive one-year renewal terms.
The Client remains responsible for all fees, charges, and obligations accrued through the end of the applicable subscription term.
4. Non-Renewal Requests
A Client may request that its subscription not renew at the end of the current subscription term.
To prevent automatic renewal, the non-renewal request must be received by Vaultody at least thirty (30) days before the end of the then-current subscription term.

The request should include:
(a) Client company name;
(b) registered account email;
(c) full name of the requester;
(d) Subscription Plan;
(e) requested non-renewal date; and
(f) any relevant account or invoice details.
Vaultody may request additional information to verify the requester's identity, authority, or account details.
5. Effect of Non-Renewal
If a valid non-renewal request is submitted on time:
(a) the subscription will remain active until the end of the then-current subscription term;
(b) the subscription will not renew for a further term;
(c) the Client will remain responsible for all fees and obligations through the end of the current term; and
(d) access to the Services may be discontinued upon expiration of the subscription term.
Non-renewal does not entitle the Client to any refund, credit, or reimbursement for fees already paid or payable, except where required by Applicable Law or expressly agreed by Vaultody in writing.
6. Cancellation During an Active Term
A cancellation request submitted before the end of the then-current subscription term does not automatically terminate the Client's contractual obligations.
Cancelling, discontinuing, deactivating, closing an Account, removing API integrations, reducing usage, stopping use of the Services, or otherwise ceasing activity does not relieve the Client from payment obligations under the DWaaS Software as a Service Agreement.
The Client remains responsible for all fees, charges, and obligations accrued prior to the effective date of cancellation or termination.
7. Early Termination
If the Client terminates the subscription for convenience, cancels the Services, closes its Account, ceases using the Services, or otherwise attempts to discontinue the contractual relationship before the end of the then-current subscription term, early termination charges will apply in accordance with the DWaaS Software as a Service Agreement, unless an exception set out in that agreement applies.
As set out in the DWaaS Software as a Service Agreement, early termination charges are calculated as liquidated damages equal to the subscription fees that would have become payable during the remainder of the applicable term, capped at six (6) months of the then-current recurring subscription fees.
Such liquidated damages are intended as a genuine pre-estimate of Vaultody's expected losses and not as a penalty.
8. Exceptions to Early Termination Charges
Early termination charges do not apply where:
(a) the Client terminates due to Vaultody's uncured material breach in accordance with the DWaaS Software as a Service Agreement;
(b) the Client rejects a qualifying mid-term pricing change in accordance with the DWaaS Software as a Service Agreement; or
(c) the subscription is terminated due to force majeure in accordance with the DWaaS Software as a Service Agreement.
In such cases, the Client remains responsible for fees and obligations accrued through the effective date of termination.
9. No Refund Policy
Except where expressly required by Applicable Law or expressly agreed by Vaultody in writing, all fees paid or payable are non-refundable and non-creditable.
This includes, without limitation:
(a) subscription fees;
(b) usage-based fees;
(c) Transaction-Based Fees;
(d) overage fees;
(e) implementation fees;
(f) support fees;
(g) renewal fees; and
(h) fees for unused portions of a subscription term.
10. Failed Payments and Overdue Amounts
If a payment fails, is declined, is reversed, is charged back, or otherwise remains unpaid, Vaultody may retry the payment, request an alternative payment method, or take other actions permitted under the DWaaS Software as a Service Agreement. Vaultody may suspend, restrict, or disable access to all or part of the Services where any undisputed amount remains overdue following written notice and a cure period of not less than seven (7) days, in accordance with Section 6.5 of the DWaaS Software as a Service Agreement.
The Client remains responsible for all unpaid amounts.
Suspension of access due to non-payment does not cancel the subscription or remove the Client's payment obligations.
11. Subscription Plan Changes
The Client may request an upgrade to its Subscription Plan during an active subscription term.
Any upgrade may result in revised pricing, limits, features, or usage allowances.
Downgrades generally take effect only upon renewal, unless Vaultody expressly approves otherwise in writing.
A requested downgrade during an active subscription term does not reduce fees already accrued or payable for the then-current term unless expressly agreed by Vaultody in writing.
12. Access After Cancellation or Expiration
Upon cancellation, expiration, non-renewal, termination, or non-payment, Vaultody may suspend, restrict, disable, or terminate access to the Services, Account, dashboard, APIs, credentials, or related functionality.
The Client is responsible for taking any necessary steps before expiration or termination, including exporting permitted records, adjusting integrations, and ceasing use of the Services.
Vaultody does not control or custody Client Digital Assets and does not have the ability to transfer, recover, or access Client Digital Assets on behalf of the Client.

(a) company name;

(c) full name and role of the requester;
(d) confirmation that the requester is authorized to act on behalf of the Client;
(e) requested cancellation or non-renewal date;
(f) Subscription Plan; and
(g) relevant invoice or account details.
Vaultody may require reasonable verification before processing the request.
14. Relationship to the DWaaS Software as a Service Agreement
This Policy is provided for transparency and operational guidance.
The Client's subscription, billing, renewal, cancellation, termination, refund, and payment obligations are governed by the DWaaS Software as a Service Agreement.
In the event of any conflict between this Policy and the DWaaS Software as a Service Agreement, the DWaaS Software as a Service Agreement shall prevail.
